Raises $75 Million
Toronto, December 10, 2009 – Middlefield Group,
on behalf of Pathfinder Convertible Debenture Fund, is pleased to announce that
the Fund has completed the issuance of an additional 323,000 combined units at
a price of $12.00 per combined unit for total gross proceeds of $3,876,000
pursuant to the over-allotment option granted to the agents in
Pathfinder’s recently completed initial public offering. Together with the
$70,800,000 previously closed, the Fund has raised aggregate gross proceeds of

which raised total proceeds of $23 million. Together with MRF 2009 LP, which
raised $37 million earlier this year, Middlefield has raised $60 million in

family – the Groppe Tactical Energy Class. The new Fund is available using

both Series A and F shares and investors can switch between all Middlefield
classes of mutual funds without triggering capital gains for tax
